Terms of Service

"Flicp", "we", "us", or "Company" means FLICP TECHNOLOGIES PRIVATE LIMITED, a company incorporated under the Companies Act, 2013, with its registered office at 4th Floor, Xeno Space, No. 28 & 50, Arunodaya Colony, Madhapur, Hyderabad, Telangana – 500081, India (CIN: U62011TS2026PTC214611).

"Platform" means the website flicp.com, associated mobile applications, APIs, and all services operated by Flicp.

"Brand" means a business entity that registers on the Platform to issue coupons, run loyalty programmes, drops, or auctions for its customers.

"Consumer" or "User" means an individual who accesses the Platform to discover, claim, or redeem offers issued by Brands.

"Flicp Tokens" and "Sparks" are non-monetary, non-transferable loyalty credits issued by Flicp solely for use within the Platform. They carry no monetary value, are not redeemable for cash, and cannot be transferred between users. They do not constitute a Prepaid Payment Instrument under the Reserve Bank of India Master Direction on PPIs, 2021.

"Coupon" means a digital entitlement issued by a Brand via the Platform, granting a Consumer a specified discount, reward, or benefit, subject to the Brand's stated terms.

"Private Trust Record" means an immutable record of coupon issuance, ownership, or redemption events written to Flicp's private, permissioned ledger. This record is not public-chain crypto infrastructure and does not involve any cryptocurrency.

You must be at least 18 years of age and competent to contract under the Indian Contract Act, 1872 to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

Users between 13–17 years of age may access the Platform only with verifiable parental or guardian consent, which Flicp may require at any time. Flicp does not knowingly collect personal data from children under 13 years of age.

Brands must be validly incorporated or registered business entities in India or such other jurisdictions as Flicp may permit from time to time, and must complete KYC verification before activating paid services.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify Flicp immediately at help@flicp.com if you suspect any unauthorised access.

You agree to provide accurate, current, and complete information during registration and to keep such information up to date. Flicp reserves the right to suspend or terminate accounts where information is found to be false, misleading, or incomplete.

Each Brand account may have multiple employee roles (Owner, Admin, Campaign Manager, etc.) as configured within the Platform. The Brand Owner bears full responsibility for all actions taken under the Brand account by any employee.

Brands may use the Platform to create, issue, manage, and track digital coupons, loyalty programmes, drops, and auctions ("Brand Services"), subject to the subscription tier selected and applicable fees.

Brands are solely responsible for (a) the accuracy and legality of offer terms, including discount amounts, expiry dates, and redemption conditions; (b) fulfilling the consumer benefit promised in each coupon; and (c) compliance with all applicable consumer protection, advertising, and taxation laws.

Flicp is a technology intermediary and is not a party to any transaction between a Brand and its Consumers. Flicp does not guarantee consumer uptake, redemption rates, or commercial outcomes for any Brand campaign.

Brand subscription fees are billed in advance per the pricing schedule displayed on the Platform. Fees are exclusive of applicable Goods and Services Tax (GST), which will be added at the prevailing rate. Flicp issues GST-compliant tax invoices to all Brand customers.

Flicp processes Brand payments via Razorpay Payments Private Limited, an RBI-authorised payment aggregator. By using paid Brand Services, you agree to Razorpay's Terms of Service and Privacy Policy.

Consumers may use the Platform to discover offers, claim coupons, and redeem entitlements at participating Brands. Redemption is subject to the specific terms set by the issuing Brand, including validity period, geographic restrictions, and category exclusions.

Flicp is not responsible for a Brand's failure to honour a coupon. Disputes regarding coupon fulfilment must be raised first with the Brand. If unresolved, Consumers may escalate to Flicp's Grievance Officer.

Coupons are non-transferable unless expressly stated otherwise. Any attempt to sell, auction, or transfer coupons outside the Platform is void and may result in account termination.

Flicp Tokens and Sparks are programme-specific loyalty credits that may be earned through eligible platform activity as determined by Flicp from time to time. They:

• Have no monetary value and are not a currency or security.
• Cannot be redeemed for cash, bank transfer, or any financial instrument.
• Cannot be transferred, gifted, or sold to another user.
• May expire if an account is inactive for 12 consecutive months.
• May be modified, suspended, or discontinued by Flicp with 30 days' notice.

These credits do not constitute a Prepaid Payment Instrument, e-money, or virtual digital asset under any applicable Indian law, including the RBI Master Direction on PPIs (2021) or the Finance Act, 2022.

Flicp uses DIDIT, an identity verification service, to conduct KYC checks on Brand owners and, where required by applicable law, on Consumers. By submitting KYC documents, you consent to their processing by DIDIT in accordance with DIDIT's privacy policy.

Flicp does not store raw identity documents beyond the retention period required by law. KYC status (verified / not verified) is stored separately from the underlying document data.

You agree not to:

• Use the Platform for any unlawful purpose or in violation of these Terms.
• Misrepresent your identity, business, or the nature of your offerings.
• Scrape, crawl, or extract Platform data without written authorisation from Flicp.
• Attempt to reverse-engineer, decompile, or tamper with the Platform or its blockchain records.
• Issue fraudulent coupons, create fake redemption events, or manipulate loyalty balances.
• Introduce malicious code, conduct denial-of-service attacks, or interfere with Platform infrastructure.
• Use the Platform to facilitate money laundering, terrorist financing, or any activity that contravenes the Prevention of Money Laundering Act, 2002 (PMLA).

Flicp reserves the right to suspend or permanently terminate accounts, withhold pending payouts, and report violations to law enforcement authorities.

All content on the Platform — including software, design, text, graphics, logos, and the Flicp brand name — is owned by or licensed to Flicp and is protected under the Copyright Act, 1957 and the Trade Marks Act, 1999. Nothing in these Terms transfers any IP rights to you.

Brands grant Flicp a non-exclusive, royalty-free licence to display their brand name, logo, and campaign content on the Platform for the purpose of operating the Brand's account and promoting offers to Consumers.

To the maximum extent permitted by applicable Indian law, Flicp's aggregate liability to you for any claim arising out of or related to these Terms or the Platform shall not exceed the greater of (a) the fees paid by you to Flicp in the three months preceding the claim, or (b) ₹5,000 (Indian Rupees Five Thousand).

Flicp is not liable for: (a) indirect, incidental, special, or consequential damages; (b) loss of profits, revenue, data, or business opportunity; (c) unavailability of third-party services (Razorpay, DIDIT, WhatsApp); or (d) delays or failures resulting from circumstances beyond Flicp's reasonable control (force majeure).

Nothing in these Terms limits Flicp's liability for death or personal injury caused by its negligence, fraud, or any other liability that cannot be excluded by law.

You agree to defend, indemnify, and hold harmless Flicp, its directors, employees, and agents from any claims, damages, penalties, and legal costs arising from (a) your use of the Platform; (b) your violation of these Terms or any applicable law; or (c) any third-party claim relating to content, offers, or transactions that you post or facilitate on the Platform.

You may close your account at any time by contacting help@flicp.com. Flicp will process account closure within 30 days. Unused prepaid subscription value is non-refundable unless required by applicable law.

Flicp may terminate or suspend your account immediately, without notice, for material breach of these Terms, failure to pay fees, or where required by a court order or regulatory directive.

Sections 6, 9, 10, 11, 13, 14, and 15 survive termination.

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts at Hyderabad, Telangana, India.

Flicp encourages resolution of disputes informally. Before initiating legal proceedings, you agree to notify Flicp in writing at help@flicp.com and allow 30 days for Flicp to respond and attempt resolution.

For Consumer complaints that cannot be resolved informally, the complaint may be referred to the National Consumer Disputes Redressal Commission (NCDRC) or the appropriate State Commission under the Consumer Protection Act, 2019.

In accordance with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023, Flicp has designated a Grievance Officer:

Flicp may update these Terms from time to time. Material changes will be notified via email or an in-platform banner at least 15 days before taking effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
